Description: This course examines goodwill as a continuum rather than a binary personal-versus-enterprise classification. Participants will evaluate how reputation, customer relationships, contractual rights, workforce depth, operating systems, and transaction terms affect the ownership and transferability of goodwill. The course also addresses the SOLD framework (Source, Ownership, Legal transferability, and Distribution of proceeds), appropriate valuation methods, and evidentiary limitations.

Learning Objectives:
During this webinar, participants will learn how to:

  • Differentiate personal, institutionalized personal, pooled professional, and enterprise goodwill based on source, ownership, transferability, and persistence.
  • Apply the SOLD framework—Source, Ownership, Legal transferability, and Distribution of proceeds—to evaluate goodwill in single-owner and multi-owner professional practices.
  • Analyze contracts, restrictive covenants, operating systems, workforce structure, customer behavior, and transaction proceeds as evidence of goodwill ownership and transferability.
  • Select a valuation method that is consistent with the goodwill classification, available evidence, and identified data limitations.
